XMLMill for Java OEM License

OEM LICENSE AGREEMENT (OEMLA)

You must carefully read this OEMLA, fully understand and agree to all its terms, before installing or using the software.

This OEM License Agreement is a legal agreement between the author of this software and you (either an individual or an entity).

This agreement applies to XMLMill for Java, which includes the software, any printed materials, associated media, and online or electronic documentation.

By installing, or using the software, you agree to be bound by the terms of this OEMLA.

If you do not agree to the terms of this OEMLA, do not install or use this software.

Definitions

When used in this OEMLA, following bold words shall have the following meanings:

  1. Licenser shall mean Stefan Geelen, Kapellestraat 82C, 2630 Aartselaar (Belgium), sole owner and intellectual owner of XMLMill.
  2. XMLMill shall mean the product XMLMill for Java, represented by the software xmlmill.jar.
  3. Licensee shall mean the company buying XMLMill.
  4. Licensee Applications shall mean all software products developed by Licensee or for which Licensee otherwise has distribution rights, including all revisions, enhancements, upgrades, and new versions thereof in which Licensee embeds the xmlmill.jar file.
  5. Licensee applications must: (a) not provide substantially the same functionality as XMLMill or have as one of their purposes to build other applications that would compete with XMLMill and (b) not expose the source code or methodologies or document in any manner the programmatic functions of XMLMill.

Grant of Licenseeship; License for Development

  1. Licenser grants Licensee the right to distribute and sublicense XMLMill but only to the extent XMLMill is incorporated into or is part of permittedLicensee Applications.Licensee may not distribute or sublicense XMLMill as a stand-alone product.
  2. The distribution rights granted hereunder shall be worldwide, except that Licensee shall be solely responsible at all times for strict compliance with all laws governing the exportation of the XMLMill Products (if any).
  3. Licensee agrees not to reverse compile, translate, or disassemble XMLMill, in whole or in part, and further agrees that it will provide the same level of security for XMLMill as it provides for its own products, but in no event less than reasonable care, to prevent third parties from performing such activities.
  4. Licenser reserves all rights not expressly granted to Licensee in this OEMLA. All distribution of XMLMill to end-users must be done pursuant to a software license agreement that provides for limitation of damages for breaches of product performance, reasonable intellectual property protection, and other representations and warranties, limiting remedies to the license fees paid for the product, and excluding the recovery of special, consequential, and indirect damages
  5. Subject to the rights granted to Licensee herein, all right, title, and interest in and to XMLMill, including code, sequence, logic, structure and screens, and documentation, and in and to any improvements, enhancements, updates, or upgrades thereto, including concepts and technology inherent in XMLMill, are, and at all times shall remain, the sole and exclusive property of Licenser. Nothing contained in this OEMLA shall be construed directly or indirectly to assign or grant to Licensee any right, title, or interest in or to trademarks, copyrights, patents, or trade secrets of Licenser, or any ownership rights in or to XMLMill.

Representations and Warranties of Licensee

  1. Licensee warrants that any publication of the Licensee Applications will contain a copyright notice in the name of Licenser in the following manner: “Portions of this software are copyrighted by XMLMill, www.xmlmill.com” and the copyright notice encoded in XMLMill shall be reproduced.
  2. Licensee represents and warrants that it has the authority to enter into this OEMLA, and to distribute the Licensee Applications as contemplated hereunder, and that the performance of this OEMLA shall not cause a breach of any other obligation of Licensee.
  3. Licensee allows that Licenser releases a press-release where this OEMLA agreement is mentioned, excluding any financial details. This right is also granted to the Licensee.

Duties of Licensee

  1. If Licensee believes, or is made aware, that any of Licenser’s contractual, statutory, intellectual property or other rights are being violated, it agrees to notify Licenser promptly and cooperate in any investigation.

Warranty

  1. XMLMill IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED ARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON INFRINGEMENT.
  2. Licensee agrees that, regardless of the form of any claim, LICENSEE'S SOLE REMEDY AND LICENSER SOLE OBLIGATION SHALL BE GOVERNED BY THIS OEMLA, AND IN NO EVENT SHALL LICENSER BE LIABLE FOR USE OF XMLMill THAT WILL GIVE RISE TO ANY CLAIM.
  3. LICENSEE EXPRESSLY AGREES THAT IN NO EVENT SHALL LICERSER BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES ARISING FROM INFRINGEMENT, BREACH OF WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, OR ANY OTHER LEGAL THEORY, WHETHER IN TORT OR CONTRACT, EVEN IF LICENSER HAS BEEN APPRISED OF THE LIKELIHOOD OF SUCH DAMAGES OCCURRING, INCLUDING WITHOUT LIMITATION DAMAGES FROM INTERRUPTION OF BUSINESS, LOSS OF PROFITS OR BUSINESS OPPORTUNITIES, LOSS OF USE OF SOFTWARE, LOSS OF DATA, COST OF RECREATING DATA, COST OF CAPITAL, COST OF ANY SUBSTITUTE SOFTWARE, OR LOSSES CAUSED BY DELAY.
  4. Licenser shall not be responsible for any damages or expenses resulting from alteration or unauthorized use of XMLMill, or from unintended or unforeseen results obtained by Licensee resulting from such use.

Survival of Certain Provisions

  1. All provisions relating to payment, ownership, use or protection of intellectual property and the provision relating to applicable law, shall survive termination or expiration of this OEMLA.

Partial Invalidity

  1. If any provision of this OEMLA is held to be invalid or unenforceable under any applicable statute or rule of law, such invalidity or unenforceability shall not effect any other provision, but this OEMLA shall be construed as if such invalid or unenforceable provision had never been made.

Waiver of compliance

  1. Any failure by either party to exercise any right provided herein shall not be deemed a waiver of any further rights hereunder.

Applicable Law

  1. he parties agree that this OEMLA shall be governed and construed by the laws of the province of Antwerp, Belgium. The Belgian law is applicable.

Entire Agreement

  1. This OEMLA constitutes the entire agreement between the parties, and supersedes any and all prior agreements (written and oral) between the parties. This OEMLA may be amended only in writing executed by both parties.

  4. Licenser shall not be responsible for any damages or expenses resulting from alteration or unauthorized use of XMLMill, or from unintended or unforeseen results obtained by Licensee resulting from such use.
